Thanks to everyone for participating in the first of what I say will be many calls. Thanks to Greg, for taking charge and getting the ball rolling. I need everybody that participated in the call on 1/3/08 to pm me. The following information is needed.

here are some thoughts i had after the call.

does airco have a mission statement? what is success for airco?

i think that for airco to grow and attract members it needs to offer some good benefits to membership. some that come to my mind are the ability to influence the astm standards, state safety regulations, and insurance prices and requirements.

also, i don't think i would make a new website my first priority. i am more concerned with a direction and plan for the organization. what is the goal (or goals) of airco?

if inflatable safety is the goal, i would make safety training materials number one. then i would determine how to get the word out to operators through the web and other methods. i really think we should compile a list of operators and do a mailing to them. we should be able to get list of companies from state safety divisions. it should be public record. i think the best way to get more members is a non-web approach. the web savvy people have already found airco.

if being a voice for the inflatable rental industry is the goal, i would develop safety policies and lobby with the state and with the astm standards committees. i would also pursue getting reasonable insurance rates by possibly providing accurate statistics from airco members.

i like membership being free, but if we are to offer serious benefits, i believe a membership fee is inevitable. however, i still believe that the forum should be available to anyone. it will encourage membership.

I must say I am sorry I couldn't participate due to a last minute single mom issue with my daughter and her girl scout troup. It is a bit frustrating to be a part of this group from day 1 and to be left in the cold now.

I was not able to attend due to my work schedule, if there could be something that shows what was accomplished would be great, or instead of the conf call we could use the chat that is here on the site. This way what was discussed could be reviewed....
Has what was started with the original AIRCO reviewed before we go and reinvent the wheel?

I took notes and emailed them to Greg. I'm not a secretary, but did the best I could. He will email them to everyone who emailed him with a interest in helping. i dont think anyone would mined me posting some of the thoughts and topics we discussed.

The 3 main things we feel need to be done as quickly as they can and in this order.

1. Get the A-irco .com and .org websites up and running. Revamp them so they look similar. Update the info on each. Also there is some software that will be installed to help with membership. Once the websites are right and running ok will go from there. Anyone know a good webmaster who could help.

2. Get memberships updated. This hopefully will be able to be done online with the new software once it is ready. Exsisiting members will have to reregister, or recertify, whatever you want to call it. New companies will have to be certified, similar to the way it has been done in the past, but hopefully most of the work will be done online.

3. Get more advertiser's on the forum and website's.

There is alot of other things that will need to be done in between the steps, but we arent going to reinvent the wheel. We might tweek some things to do a better job, but the main thing is get A-irco rolling again to help this industry. If we dont give the powers at be something to go by, they will regulate us to death. Everyone needs to read the report Ken Martin posted.

You had to get something from me as i got an email from you on 1/2/08 at 12:15pm telling me you wanted to stay involved etc....... SO maybe to my missing something you wasnt informed, but i ASSUMED since u emailed me u got the information... You are set up as a Volunteer group, I just checked so be sure to watch your email... you should have gotten some recap of tongihts meeting also.



I sent out emails for a week every day asking for volunteers...

I asked them to respond to me at my email address so they would not get lost in the email shuffle.

I had over 50 people respond as to wanting to be included in the volunteer group.

Emails from this board was only sent to those that expressed and interest as there was no need to slam everyone asking them to be a part.

With that said... be sure to check your email address on here as we had over 500 come back as rejected over the past week, for reasons of not a good address, mailbox full, and various other reasons.

BY-LAWS OF THE ASSOCIATION OF INFLATABLE RENTAL COMPANY OPERATORS,
A NOT-FOR-PROFIT CORPORATION

ARTICLE I ORGANIZATION

1. The name of the organization shall be the Association of Inflatable Rental Company Operators, or herefore referred to as AIRCO.

2. The organization shall have a seal which shall be in the following form: a black and grey circle surrounding a stylized inflatable "a " in yellow and red. The name AIRCO will appear below it or to the right of the icon. Different sayings such as “Member”, “Vendor”, "Board Member” may accompany the logo, situated directly beneath it.

3. The organization may at its pleasure by a majority vote of the membership body change its name, logo, bylaws, guidelines or “profit” status.


ARTICLE II PURPOSES

The following are the purposes for which this organization has been organized:

Promote safe and professional operation of inflatable rental companies.
Promote awareness in the general public of safe inflatable amusement procedures.
Set minimum standards of operation in accordance with reasonable existing and future government-sactioned regulations.
Gather and analyze industry data.
Provide group benefits wherever possible.
Provide a professional community for the sharing of ideas, concerns, information and camraderie in the industry.

ARTICLE III MEMBERSHIP

Membership in this organization shall be open to all who are currently in the business of inflatable rental, run their business with integrity and high business ethics, and adhere to the conditions set forth in the membership agreement. The details of the conditions of the membership agreement may be changed by the membership once a year by a majority vote.

The organization will also be open to inflatable industry dealerships and franchises who meet the membership conditions. A special “Vendor Membership” will be available to those who are not active in inflatable rentals, but sell products or services to those who are active in the industry.

ARTICLE IV MEETINGS

The annual membership meeting of this organization shall be held on the ___10th__ day of February each and every year except if such day be a legal holiday, then and in that event, the Board of Directors shall fix the day but it shall not be more than two weeks from the date fixed by these By-Laws.

The Secretary shall cause to be mailed to every member in good standing at his address as it appears in the membership roll book in this organization a notice telling the time and place of such annual meeting. The notice may be mailed electronically.

Regular meetings of this organization shall be held online in a specified chat room to be announced. Each of these monthly meetings will be held the second Wednesday of every month.

The presence of not less than twelve (12) of the members shall constitute a quorum and shall be necessary to conduct the business of this organization; but a lesser amount may adjourn the meeting for a period of not more than two weeks from the date scheduled by these By-Laws and the secretary shall cause a notice of this scheduled meeting to be sent to all those members who were not present at the meeting originally called. A quorum as herein before set forth shall be required at any adjourned meeting.

If a quorum is not achieved, no official business requiring membership approval shall be authorized until such a time as a quorum is convened.

Special meetings of this organization may be called by the executive director when he/she deems it for the best interest of the organization. Notices of such meeting shall be mailed or emailed to all members at their addresses as they appear in the membership roll book at least five (5) days before the scheduled date set for such special meeting. Such notice shall state the reasons that such meeting has been called, the business to be transacted at such meeting and by whom it was called. At the request of four (4) of the members of the Board of Directors, the president shall cause a special meeting to be called but such request must be made in writing at least five (5) days before the requested scheduled date.

No other business but that specified in the notice may be transacted at such special meeting without the unanimous consent of all present at such meeting.

ARTICLE V VOTING

At all meetings, except for the election of officers and directors, all votes shall be by electronic voice. For election of officers, an electronic poll shall be provided and there shall not appear any place on such poll that might tend to indicate the person who cast such vote.

At any regular or special meeting, if a majority so requires, any question may be voted upon in the manner and style provided for election of officers and directors. At all votes by electronic poll the chairman of such meeting shall, prior to the commencement of poll, appoint the voting committee chairperson who shall act as "Inspectors of Election" and who shall, at the conclusion of such polling, certify in writing to the Chairman the results and the certified copy shall be affixed in the minute book to the minutes of that meeting.

No inspector of election shall be a candidate for office or shall be personally interested in the question voted upon.


ARTICLE VI ORDER OF BUSINESS

1. Roll Call.
2. Reading of the Minutes of the preceding meeting.
3. Reports of Committees.
4. Reports of Officers.
5. Old and Unfinished Business.
6. New Business.
7. Adjournments.


ARTICLE VII BOARD OF DIRECTORS

The business of this organization shall be managed by a Board of Directors consisting of [5] members, together with the officers of this organization. At least one of the directors elected shall be a resident and citizen of the United States.

The Board of Directors consists of the 5 chairpersons of the various committees, and the Executive Director. Each shall have an equal vote in all official matters. In the event of a tie, the vote of the Executive Director shall be discounted.

The Excutive Director's position shall be appointed by the Board of Directors.

The Executive Director shall preside at all membership meetings.
He/She shall by virtue of his office be Chairman of the Board of Directors.
He/She shall present at each annual meeting of the organization an annual report of the work of the organization.
He/She shall appoint all committees, temporary or permanent.
He/She shall see all books, reports and certificates required by law are properly kept or filed.
He/She shall be one of the officers who may sign the checks or drafts of the organization.
He/She shall have such powers as may be reasonably construed as belonging to the chief executive of any organization.

The Board of Directors shall select from one of their members a Vice Chairman

The Vice Chairman shall in the event of the absence or inability of the Chairman to exercise his/her office become acting Chairman of the organization with all the rights, privileges and powers as if he had been the duly elected Chairman.

The Board of Directors shall select from one of their members a Secretary.

He/She shall give and serve all notices to members of this organization.
He/She shall be the official custodian of the records and seal of this organization.
He/She shall present to the membership at any meetings any communication addressed to him/her as Secretary of the organization.
He/She shall submit to the Board of Directors any communications which shall be addressed to him/her as Secretary of the organization.
He/She shall attend to all correspondence of the organization and shall exercise all duties incident to the office of Secretary.

The Board of Directors shall select from one of their members a Treaurer.

The Treasurer shall have the care and custody of all monies belonging to the organization and shall be responsible for such monies or securities of the organization.
He/She must be one of the officers who shall sign checks or drafts of the organization. No special fund may be set aside that shall make it unnecessary for the Treasurer to sign the checks issued upon it.
He/She shall render at stated periods as the Board of Directors shall determine a written account of the finances of the organization and such report shall be physically affixed to the minutes of the Board of Directors of such meeting.
He/She shall exercise all duties incident to the office of Treasurer.

The directors to be chosen for the ensuing year shall be chosen at the annual meeting of this organization in the same manner and style as the officers of this organization and they shall serve for a term of 2 years. The terms shall be staggered to prevent the potential loss of the tenured board in a single year. There are no term limits.

The Board of Directors shall have the control and management of the affairs and business of this organization. Such Board of Directors shall only act in the name of the organization when it shall be regularly convened by its chairman after due notice to all the directors of such meeting.

Four (4) of the members of the Board of Directors shall constitute a quorum and the meetings of the Board of Directors shall be held regularly on the [DATE].

Each director shall have one vote and such voting may not be done by proxy.

The Board of Directors may make such rules and regulations covering its meetings as it may in its discretion determine necessary.

Vacancies in the Board of Directors shall be filled by a vote of the majority of the remaining members of the Board of Directors for the balance of the year.

A director may be removed when sufficient cause exists for such removal. The Board of Directors may entertain charges against any director. A director may be represented by counsel upon any removal hearing. The Board of Directors shall adopt such rules for this hearing as it may in its discretion consider necessary for the best interests of the organization.


ARTICLE VIII OFFICERS

The remaining officers of the organization shall be as follows:
Membership Director:
Historian:
Marketing/PR Director:
Technical Advisor:
Legal Advisor:
Librarian:

No officer shall for reason of his/her office be entitled to receive any salary or compensation, but nothing herein shall be construed to prevent an officer or director for receiving any compensation from the organization for duties other than as a director or officer.

ARTICLE IX COMMITTEES

All committees of this organization shall be appointed by the Board of Directors and their term of office shall be for a period of one year or less if sooner terminated by the action of the Board of Directors.

Committees may be formed or dissolved by a vote of at least four (4) members of the Board of Directors.

Committee topics should reflect the working goals of the organization.

ARTICLE X DUES

The dues of this organization shall be &#036; 0 per annum and shall be payable on date of membership acceptance or by January 1st of every new year. These dues may be changed once each year by a majority vote from the Board of Directors.

ARTICLE XII SALARIES

The Board of Directors shall hire and fix the compensation of any and all employees which they in their discretion may determine to be necessary for the conduct of the business of the organization.

ARTICLE XII AMENDMENTS

These By-Laws may be altered, amended, repealed or added to by an affirmative vote of not less than four (4) of the board members.

The Moonwalk Guy (Harold), Lifeotheparty (Heidi), Kinkade (Chris), and myself are the active members. Robert Whitsell and Mike Reigel were inactive Board members and the candidates for their replacements are: yourself (Blake), GregHarkins, and EventMaster (Tom).

Unfortunately, the elections were never held for the replacements last year so with Greg taking over the Director position, I would expect you and Tom to be defacto Board members until we can hold elections.

These details have all been posted on the site since February of last year... unfortunately that's the section I'm still struggling to restore after our server move. (I'm realizing how few people browsed the official stuff on the main site!)

My turning things over to Greg shouldn't mean everything gets wiped out and started over from scratch, I would think. Ultimately, the Board of Directors makes the decisions but it's up to the Director to implement them, propose direction and keep things running, especially as the positions are all voluntary. It's sort of a checks and balances thing.

It's up to the Director to keep things going when time is scarce, and that's where I've dropped the ball and can no longer operate in that capacity. I am very grateful to Greg for stepping in to ramp things up again.

EXACTLY...... We just need them to participate with us next week so we can see all their intentions as toward AIRCO.. if they want to stay great if not just let us know so we know what to do and not hold spots open for people that are not going to be active....

To succeed we need ACTIVE people not just people holding titles to be holding them.. not to say anyone is doing that now but for future reference, board members, committee people etc should be active to maintain the growth of this or any organization.

I am a member on a board of directors here in my city and we have a rule, miss 3 meetings and you are relieved of you duties... unless you have some good excuse... and there has only been 1 person that that has happened to. That type of requirement gets people to stay active and produce results.. knowing it is a volunteer group, you have to do just that volunteer and be active or give your spot to someone that wants to be.

Again, not saying that is the case here just giving examples of what I am currently involved in with other groups.


That is as politically correct as I can say it! )

To be fair, a lot of issues bottlenecked with me.

People are usually willing to do a specific task or role, but someone has to organize the meetings, set up what needs to be set up, create proposals to be discussed, etc. The existing Board has always been willing to step up and do what's needed but they need a leader who can keep things rolling. That's why this change will be a shot in the arm for the org.

I'm excited to see the level of interest is still out there. I still think AIRCO is needed.

Dont you guys think we need all of the board to be at the meeting this coming Thursday? I'm glad Greg stepped up and took the lead. Lets not make the same mistake twice.

I know the foundation is there for what we need to do. from reading the other info Scottie posted about Airco, it helps us know what has already been done. We just need to go over it and see if we need to adjust anything.

That could have come from emails i was sending for volunteers or from the one regarding moderators asking for them to also be volunteers on the revamp. either way it happened and he was added as such.

Like I mention before, I don't mind helping but your all planning on having meetings when I'm out doing street fairs. I put my name on the list last week as I did months ago with Scottie. I know I can help kick A-irco up a notch but it will be hard for me because your having meetings at times I'm doing street fairs. I'm busy every Thursday year round. I don't expect you all to move the meeting just for me but if you want me to help, someone has to get with me on days I'm not working. Right now Thursday is pretty much the only day I'm working during the week. Maybe you need to split into groups and have more than one meeting. All I know is I'm interested in helping but I don't know in what area. I know what ever I do it needs to be something I could do late at night or at times I'm not busy working. Right now I'm very easy reach by email. I have it open all the time and I'm just about always in front of it. Anyone wants to email me to throw some stuff at me ~ Go for it!

I have this a-irco open just about all day and from time to time I'll open it and read what you all are up too. We have discussed maybe moving the meetings to Sunday Nights around 8 or 9 est... will have to see next week what the thoughts are on that.

Just be sure to watch your emails as that is where you will get the most information as to what is going on.

I would love to play a part in making airco a major force in the industry. I didn't participate in the call because I feel a little out of place since I no longer rent inflatables. I owned several inflatables several hard rides, games, concession equipment and a trackless train and firetruck but sold everything but the train to devote more time to the train and to my FEC ( Exhilaration Station ). Found my nich in the Trackless Train market and doing very very well at it. If you would like input from someone who knows a lot about the Trackless train business and about the Family Entertainment Center business than I would be honored to help. Sure wish I had gotten involved with this forum before this years IAAPA, maybe I could have meet more of you. I will email my information in, depending on your responce. LOVE TO :help:

No what he is saying is...

I have the full list of those that offered to be volunteers.

He is wanting to compile a list of those that participated on the call the other night.. We are getting a list together of those on the call so we can share that info with the volunteers that was on the call. It was somthing that was asked for and we are TRYING to do it, but like everytying else.. we have to have you all give the information to us so we can dispurse it as requested.

I'll have to check into it Blake. I did meet your lovely wife in W/S at the Old Town Club. The lady who runs the events for the club introduced us and had nothing but praise for her. Have a blessed day!

I hate to beat a dead horse :whack: I have had ten responses to the requested information including myself and Greg! Greg & I are communicating back and forth trying to establish a list of people wanting to be involved in the next phone conference on 1/10/08. unfortunately, i will either miss it or be joining in late. the ministry i am involved in is starting back this week, and i usually don't get out of there till around 9:30pm. should have mentioned it earlier probably.

I'm just going to post it on here for the record! First off I do a street fair on Thursdays that will keep me from joining the phone call. Second even if I did join I don't feel I have anything to bring that you don't already have already. I know its not much but you can put me as one of the moderators over the Play Per Play and big events section of the forum. That section is one of the deadest sections on the forum. Maybe I can Rev it up a little and get people involved in making that section more alive. I could help out with the newsletter if someone help me with my words :contract: . Right now I'm a moderator that don't have a home. If I were to pick my home that's where I fit well. Events and pay per play is pretty much all I know!

Other than that I'm not sure what I can offer. I feel if I'm going to stay being a moderator then I need to be part of something. If that is not a option than maybe someone should remove moderator from my name. If I'm going to be a moderator than I need to do something. Right now I'm not doing anything! I really don't see me attending any of your calls unless my street fairs get canceled due to rain.
